Terms of Service

The agreement for companies, sole traders, accounting practices and individuals using ComplyClock for UK compliance and personal Self Assessment.

Version 2026-10-12 · Document date: 12 October 2026

Published: 12 October 2026

ComplyClock is operated by COMPLYCLOCK LIMITED, incorporated in England and Wales with company number 17474503. Our registered office is 255-259 2nd Floor West Wing Commercial Road, London, United Kingdom, E1 2BT. Contact us at hello@complyclock.uk.

These Terms govern the ComplyClock application, reminders and compliance workflow tools (the Service). The Customer is the individual or organisation identified by the workspace owner or administrator when accepting this agreement. An individual signing up accepts the user obligations; workspace acceptance records the identified Customer’s agreement. The Data Processing Addendum (DPA) applies only where we process personal data on a business Customer’s instructions as processor or sub-processor. Personal users are not required to represent a business or appoint us as their processor. The Privacy Notice explains our use of personal data and is a notice, rather than a request for consent to necessary processing.

Customer Data means information, documents, comments and other content submitted to or generated within a workspace for the Customer. Authorised Users are people whom the Customer permits to access its workspace. A Subscription is the selected Free, Growth or Practice plan and any agreed additional capacity.

These Terms, the DPA where applicable, and the plan, price and limits displayed at purchase form the agreement. A separately agreed written order may override these Terms only where it expressly identifies the provision changed and does not remove mandatory consumer rights. The DPA takes priority for the processing within its scope; otherwise these Terms take priority. We retain dated document versions and acceptance receipts. A consumer is an individual acting wholly or mainly outside their trade, business, craft or profession; their actual purpose determines this status, rather than an account label or declaration.

ComplyClock assists with tracking UK Companies House and tax deadlines, organising records, reminders and workflow. Dates depend on supplied data, public sources and general rules. Verify dates, amounts and obligations against official records and obtain professional advice where necessary. Monitor filings independently and allow time for corrections and delays.

ComplyClock does not file accounts, tax returns, confirmation statements or other documents and does not provide legal, tax, accounting or other professional advice. You remain responsible for your decisions, filings and payments. We perform the Service with reasonable care and skill. Your verification responsibilities do not remove our responsibility for our own breach.

AI features send the selected records and relevant context needed for the requested feature to OpenAI. Outputs may be incomplete or wrong. An authorised person must review and verify every output before acting on it or sending it to someone else. The Service does not make solely automated decisions with legal or similarly significant effects about individuals.

The Service supports companies, sole traders, accounting practices and individuals tracking personal Self Assessment. Users may be based in or outside the UK when tracking UK obligations. Our deadline calculations cover UK compliance; we do not provide other countries’ tax or filing rules. Authorised Users must be at least 18. You may accept for yourself, or for an organisation if you have authority to bind it. Give your full name or the organisation’s correct legal name. Business-only use and UK residence are not eligibility requirements.

Keep account and workspace information accurate, safeguard credentials, use the available security controls, and manage access promptly when people leave or change role. Owners and administrators control workspace membership and access. Tell us promptly about suspected unauthorised access at hello@complyclock.uk. You are responsible for authorised use under your account, subject to our responsibility for our own security failures.

Do not use the Service unlawfully or fraudulently, infringe others’ rights, upload malicious content, attempt unauthorised access, defeat security controls, overload the Service or send abusive communications. Do not scrape, resell or systematically extract the Service or reverse engineer it except where applicable law permits this.

You must have the rights and permissions needed to include Customer Data. Where data-protection law places controller or processor duties on you, you must meet them, including having an appropriate lawful basis. Purely personal users are not required to claim business controller status. Do not upload health data or other special-category data, criminal-offence data, or children’s personal data unless we expressly agree appropriate safeguards in writing first. Minimise unnecessary personal data, particularly in documents, support messages and AI requests.

Subscriptions are monthly. The Free plan has no subscription charge. Current standard monthly base prices are Growth £5 and Practice £49; Practice additional 500-entity capacity packs are £49 per month each. The features, user, entity, storage and AI limits displayed in the application and at purchase apply. Free access promotions do not create a paid subscription without a separate purchase.

We show the total payable, including any applicable VAT, before purchase. Pay in pounds sterling through Stripe. Additional capacity or upgrades may create prorated charges shown at confirmation; reducing capacity takes effect as displayed. The cancellation and refund rights in section 7 take precedence over ordinary plan-change charges. We give at least 30 days’ advance notice by email of price increases, which apply from a renewal after that notice. You may cancel before the change takes effect.

A paid Subscription renews monthly until cancelled. An owner or administrator may schedule cancellation in Billing & plan. It takes effect at the end of the current paid period, whose date is displayed after Stripe confirms the request. Paid access continues until then. Cancellation is available even when the workspace exceeds Free limits or new purchases are paused. On expiry the Free limits apply; existing records are retained but additions or other restricted features may require reducing usage or selecting a suitable plan.

Cancellation stops future subscription renewals; it does not delete your workspace. Keep needed exports before asking for permanent deletion. Permanent workspace or account deletion cancels the affected subscription immediately and removes live workspace data, subject to backup expiry and legally justified retained evidence described in the Privacy Notice and DPA.

If you purchase as a consumer, you can cancel within 14 days after the day of your first paid purchase and receive a full refund of that purchase, even if you have used the Service. Paid access may start immediately; we do not require an early-start waiver or deduct for time used in this initial period. Email hello@complyclock.uk with your account email and workspace name and a clear statement that you wish to cancel; you may use the cancellation form below but do not have to. We refund without undue delay and within 14 days after being informed, using the original payment method unless you expressly agree otherwise, without a refund fee. Cancellation stops the paid subscription and returns the workspace to Free without deleting existing records. Free signup or a free-access promotion does not start this paid-purchase period or automatically become a paid subscription. These additional promises do not restrict any statutory cancellation period, refund or other remedy that applies.

Optional cancellation form: To COMPLYCLOCK LIMITED, 255-259 2nd Floor West Wing Commercial Road, London, United Kingdom, E1 2BT, hello@complyclock.uk: I give notice that I cancel my ComplyClock paid subscription. Purchased on: ____. Customer name: ____. Account email and workspace: ____. Address: ____. Date: ____. Signature: ____ (only if submitted on paper).

Outside the initial consumer cancellation period, ordinary cancellation takes effect at the end of the current paid period as described above. There are no routine pro-rata refunds for unused time or changes of mind outside that period, subject to applicable legal rights. We correct overcharges. If our material breach remains unremedied after reasonable written notice and causes you to terminate, we refund prepaid fees for the unused affected period. Contact hello@complyclock.uk for billing disputes and refund requests.

If a payment fails, we notify workspace managers and provide access to billing information. After the applicable 14-day grace period, or an unpaid status from Stripe, new entities, invitations and uploads may be restricted. Retained records and exit options remain available. We may suspend or terminate for continuing non-payment under section 14; a failed payment does not authorise automatic deletion.

You retain your rights in Customer Data. You grant us and our approved suppliers a limited right to host, copy, transmit and process it only to provide, secure and support the Service and comply with law, in accordance with the DPA where applicable. You warrant that you have the rights and authority needed to give these instructions.

We and our licensors retain rights in the application, documentation, branding and pre-existing technology. While this agreement continues, you may use them within your Subscription for your business compliance or personal Self Assessment. As between you and us, you may use the AI outputs generated for your workspace, subject to third-party rights and applicable law. Outputs may not be unique or protectable by copyright; we do not guarantee ownership of rights that do not exist.

We do not sell Customer Data, use it for advertising, or authorise training general-purpose AI models on it. OpenAI API data is not used for model training unless the API customer opts in; we do not opt in. We do not claim that pseudonymised data is anonymous or grant ourselves a separate licence to use Customer Data for unrelated purposes.

The Service uses providers described on the Sub-processors page, including AWS, OpenAI, Honeybadger and Stripe. Companies House supplies public registry information; Pwned Passwords provides a partial-hash password check. Their services and records can change or be unavailable. We are responsible for selecting and managing our contracted suppliers with reasonable care and for our processors as set out in the DPA; we cannot promise continuous availability or accuracy of independent public sources.

We give at least 30 days’ advance email notice of an intended addition or replacement of a direct sub-processor that processes Customer personal data. Objections and urgent changes are handled under the DPA.

Each party must protect the other’s non-public information with reasonable care, use it only for this agreement, and disclose it only to people or suppliers who need access and are subject to confidentiality obligations, or where law requires. Public information, information already lawfully known, independently developed information and information lawfully received without restriction are excluded. Where lawful, notify the other party before compelled disclosure and limit the disclosure.

Confidentiality obligations continue for five years after termination, and for as long as personal data or trade secrets require protection under law. The DPA governs business Customer personal data within its processor/sub-processor scope. We act as controller for personal Self Assessment workspaces, account administration, security, billing, enquiries and our own legal records, as explained in the Privacy Notice.

We use reasonable care to operate and maintain the Service, but do not guarantee uninterrupted availability, a particular uptime percentage, or a recovery time or recovery point. Internet services, public sources and suppliers can fail. Maintain your own essential records and contingency arrangements. Backup retention is not an assurance that every deleted file can be recovered.

We may make routine improvements and security fixes. We give at least 30 days’ notice of a material reduction in paid functionality, allowing cancellation before it takes effect; if the change materially prevents the agreed use, you may terminate and receive a refund of the unused affected prepaid period. Urgent legal or security changes may take effect sooner, with prompt notice and an explanation.

Email hello@complyclock.uk for support. Our target is to respond within one business day, meaning Monday to Friday excluding public holidays in England. This is a response target, not a guaranteed resolution time or service-level commitment.

We provide the Service with reasonable care and skill and in accordance with the agreement. Except for express commitments here and rights that cannot lawfully be excluded, we do not promise that the Service meets every individual requirement, that all errors will be corrected, or that following a reminder will avoid a penalty.

Nothing in this agreement excludes mandatory statutory terms, remedies or rights. Consumers retain their rights under applicable consumer law, including services being provided with reasonable care and skill and remedies such as repeat performance or an appropriate price reduction where the law provides them. Any exclusion or limitation applies only to the extent permitted by applicable law, including the requirements of fairness and reasonableness where they apply.

Nothing limits either party’s liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited. These limits do not restrict data subjects’ statutory rights, regulators’ powers, or payment of undisputed fees already due.

For business Customers only, subject to those exceptions, each party’s aggregate liability for claims arising in any 12-month period under or in connection with this agreement is capped at the greater of the fees paid or payable for the affected workspace in the 12 months preceding the first event giving rise to those claims and £1,000. For breach of confidentiality or data-protection obligations, the cap is instead the greater of twice those fees and £2,000. The higher cap replaces, rather than adds to, the general cap for those claims. Related events are treated as one event. These business caps do not apply to consumers.

For business Customers, neither party is liable for indirect or consequential loss. We do not exclude all filing penalties, loss of data, loss of profit or other losses merely by their description. Direct, foreseeable loss caused by our breach may be recoverable subject to the applicable business cap, normal rules of causation and mitigation, and mandatory law. For consumers, we are responsible for loss or damage that is a foreseeable result of our breach or failure to use reasonable care and skill; the business exclusion and caps above do not restrict that responsibility or statutory remedies. Your independent verification obligations are relevant to causation and mitigation; they do not automatically defeat a claim.

Either party may terminate for a material breach that is not remedied within 14 days of written notice describing it. Immediate termination is permitted for an irremediable serious breach, fraud, unlawful use or insolvency to the extent law permits. We may temporarily restrict access where reasonably necessary to contain a security threat or unlawful use, using proportionate measures and notifying you promptly where lawful.

Before terminating for continuing non-payment or discontinuing the Service, we normally give at least 30 days’ notice and an opportunity to export. Where security or law prevents normal access, we will use reasonable efforts to arrange a safe lawful return of data. On provider discontinuation without your breach, we refund the unused affected prepaid period.

Billing cancellation retains the workspace. Owners can create a workspace export and download documents before requesting permanent deletion; exports are available for seven days. There is no contractual recovery window after permanent deletion. Live deletion and backup expiry follow the Privacy Notice and the DPA where applicable. Confidentiality, accrued payments, liability, dispute provisions and necessary data-return duties survive termination.

We give at least 30 days’ advance email notice of material Terms changes and identify the revised version. You may cancel before they apply; if they materially disadvantage your agreed paid use, you may terminate and receive a refund for the unused affected prepaid period. Changes required urgently by law or security may apply sooner, with prompt notice and reasons.

We request express workspace manager acceptance of new contractual versions. Existing valid workspace agreements remain usable for 30 days after publication of this version, with optional earlier acceptance; new acceptances use this version. We give the change notice by email at publication so existing Customers have at least 30 days before the transition ends. After that transition, pending acceptance, other members can read retained records, and managers retain access to security, privacy and exit functions. We do not treat historical activity, a pre-ticked box or silence as acceptance. Archived accepted versions and receipts remain available.

Neither party is responsible for delay caused by events beyond its reasonable control, provided it takes reasonable steps to reduce the effects and resume performance. This does not excuse payment for service already provided or mandatory duties. If an event prevents substantial performance for more than 30 days, either party may terminate the affected Service and unused prepaid fees are refunded.

Notices may be sent to the workspace manager’s registered email or to hello@complyclock.uk. Keep those addresses current. Neither party may assign this agreement without consent, except as part of a genuine business transfer with no material reduction in protections and prompt notice. A waiver must be express; invalid provisions do not invalidate the remainder. No third party has contractual enforcement rights under the Contracts (Rights of Third Parties) Act 1999; statutory data-subject rights remain. These documents comprise the agreement, without excluding fraud or overriding mandatory rights.

English law governs this agreement and related non-contractual obligations. For business Customers, the courts of England and Wales have exclusive jurisdiction, subject to mandatory law. For consumers, this choice does not remove mandatory protections of the law of their country of habitual residence or any right to bring proceedings in their local courts. Send a complaint or dispute to hello@complyclock.uk with the relevant workspace and details. We will seek a practical resolution in good faith. There is no mandatory arbitration or mediation requirement and neither party must delay urgent court relief.

Privacy complaints are handled separately under the Privacy Notice, including acknowledgment within 30 days and investigation without undue delay.
